Terms & Conditions

1. Agreement

These Terms & Conditions (“Terms”) are a contract between you and Precious Leads LLC (“Precious Leads”, “we”, “us”). By creating an account or using the Precious Leads websites and application (the “Service”), you agree to these Terms and to our Privacy Policy. If you use the Service on behalf of a company, you represent that you have authority to bind that company, and “you” refers to that company.

2. The Service

Precious Leads is a lead management platform: it lets you store leads, organize them into businesses and categories, track them through lists and kanban boards, assign them to team members, and connect lead sources through imports, webhooks, Zapier, and our API. We continually improve the Service and may add, change, or remove features over time.

3. Accounts

You must provide accurate information when creating an account, keep your credentials confidential, and be at least 16 years old. You are responsible for all activity under your account, including activity by team members you invite. Notify us immediately at contact@preciousleads.com if you suspect unauthorized access.

4. Plans, billing, and limits

• The Service is offered in a free plan and paid subscription plans. Current prices and limits (businesses, users, and leads per plan) are listed on our pricing page and may change; changes to paid plans take effect at your next billing cycle after reasonable notice.
• Paid plans are billed in advance on a monthly basis through our third-party payment processor. By subscribing, you authorize recurring charges until you cancel.
• You can cancel at any time; access continues until the end of the paid period. Refunds are governed by our Refund Policy.
• Plan limits are enforced by the Service. We may apply reasonable fair-use measures to protect the platform from abuse (for example, automated bulk activity far outside normal use).

5. Your data

Your leads are yours. You retain all rights to the data you and your team store in the Service (“Customer Data”). You grant us only the limited license needed to host, process, and display Customer Data in order to provide the Service. We process Customer Data as described in our Privacy Policy; we never sell it and never contact your leads.

You are responsible for having a lawful basis to collect and store the personal data of your leads, and for complying with laws that apply to your use of that data (including consent and marketing laws in your jurisdiction).

You can export your Customer Data as CSV at any time. After account deletion, we may retain data briefly in backups as described in our Data Deletion Instructions.

6. Acceptable use

You agree not to:

• Use the Service to store or distribute unlawful, infringing, or harmful content
• Upload lead data you have no legal right to possess or process
• Use the Service to send spam or otherwise violate anti-spam or telemarketing laws
• Attempt to breach, probe, or circumvent our security or access another customer’s data
• Resell or provide the Service to third parties outside the plan you purchased
• Interfere with the operation of the Service, including through excessive automated load

We may suspend or terminate accounts that violate this section, with notice where practicable.

7. API and integrations

Access to our API, webhooks, and integrations such as Zapier is provided under these Terms. Keep your API credentials and webhook URLs confidential. We may set and adjust reasonable rate limits. Third-party services you connect (for example, Zapier) are governed by their own terms, and we are not responsible for them.

8. Intellectual property

The Service, including its software, design, and branding, is owned by Precious Leads LLC and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks or source code. Feedback you send us may be used to improve the Service without obligation to you.

9. Termination

You may delete your account at any time. We may suspend or terminate your access if you materially breach these Terms, if required by law, or if we discontinue the Service (in which case we will give reasonable notice). Upon termination, your right to use the Service ends; sections that by their nature should survive (including Sections 5, 8, 10, 11, and 12) survive.

10. Disclaimers

The Service is provided “as is” and “as available.” To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that data will never be lost — keep your own exports of critical data.

11. Limitation of liability

To the maximum extent permitted by law, Precious Leads LLC will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Our total liability for any claim arising out of the Service is limited to the amounts you paid us in the twelve (12) months before the claim, or one hundred US dollars ($100) if you have paid nothing.

12. Indemnification

You will indemnify and hold harmless Precious Leads LLC from claims arising out of your Customer Data, your use of the Service in violation of these Terms, or your violation of applicable law.

13. Governing law

These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict-of-law rules. Disputes will be resolved in the state or federal courts located in Wyoming, and you consent to their jurisdiction.

14. Changes to these Terms

We may update these Terms from time to time. For material changes we will notify you through the Service or by email before they take effect. Continued use of the Service after changes take effect constitutes acceptance.
